TransHub acts as a coordination and project management platform connecting clients, sales teams, production managers, linguists, and finance operations. TransHub does not act as the employer of linguists or vendors. Linguists and vendors operate as independent contractors.
The following Terms of Service ("Terms") govern your access to and use of TransHub's ("TransHub", "we", or "our") services, websites, and applications (collectively referred to as the "Service"). Your access to and use of the Service is conditional upon your compliance with and acceptance of these Terms. These Terms apply to all users, visitors, and any person or entity that accesses the Service.
By using the Service, you become bound by these Terms. If you access the Service on behalf of an organisation (employer) or entity ("Organisation"), you agree to these Terms on behalf of the Organisation and warrant that you have the authority to bind the Organisation to these Terms. In this regard, "you" and "your" refer to both you and your Organisation.
Please read these Terms carefully before using the Service.
Part I
By using the Service, you become bound by these Terms. If you access the Services on behalf of an organisation (employer) or entity ("Organisation"), you agree to these provisions on behalf of the Organisation and warrant that you have the authority to bind the Organisation to these Terms. In this regard, "you" and "your" refer to both you and your Organisation.
By agreeing to use our Services, you will provide TransHub with projects, information, and folders (generally called "Content"). You have full ownership of your Content. These Terms do not give us rights to your intellectual property or Content except for those rights necessary to run the Services, as explained below.
These Terms allow you to grant us permission to do what you ask us to do with your Content, for instance, analysing or hosting your Content to establish automated localisation. It also includes choices we make to administer our Services, such as how we back up data to keep customer information safe. You also grant us permission to do things that help us provide the Services we offer. This kind of permission concerns the trusted third parties we do business with, such as Google and Amazon, which provide our storage infrastructure.
Other than in rare exceptions described in our Privacy Policy, regardless of any changes in Services, we avoid sharing your Content with others except:
In our Privacy Policy, we explain how we gather and use your information. Although you retain full ownership of your Content, you agree to grant us a non-exclusive, worldwide, irrevocable, perpetual, transferable, royalty-free licence to copy, use, process, modify, reproduce, adapt, publish, transmit, translate, edit, display, make derivatives from, and distribute Content in connection with providing our Service to you and other users in line with your preferred settings on the Service.
Please note that you are responsible for protecting all your Content. We are not liable for any alterations to or loss of your Content, or for expenses incurred in backing up or restoring it.
You, and not TransHub, are primarily responsible for your conduct, the materials of your folders and files, and your communications with others in the course of using the Services. It is your responsibility to ensure that you have the permissions needed to comply with these Terms. TransHub is not responsible for the appropriateness, accuracy, completeness, or legality of user content and any other information you access using the Services.
You may not upload Content that:
We reserve the right, but are not obligated, to remove or refuse to distribute any Content on the Service. We also reserve the right to access, preserve, and disclose any data as we reasonably believe necessary to: satisfy applicable law or legal process; enforce these Terms; detect, prevent, or address security, fraud, or technical issues; respond to user support requests; or protect the rights, safety, or property of TransHub, its users, and the public.
All interest, right, and title in and to the Service (excluding Content provided by users) remain the exclusive property of TransHub and its licensors. The Service is protected by trademark, copyright, and other laws. Nothing in these Terms grants you permission to use the TransHub name, logos, trademarks, domain names, or other brand features. Any feedback, suggestions, or comments you provide regarding TransHub or the Service are entirely voluntary, and we reserve the right to use such feedback without any obligation to you.
All Content on the Service is the primary responsibility of the individual who created it. We do not endorse, represent, or guarantee the completeness, truthfulness, reliability, or accuracy of any Content or communications posted through the Service. If you rely on or make use of any material posted on the Service, you do so at your own risk. TransHub is not liable for any loss or damage incurred from the use of any Content on the Service.
You are solely responsible for your access to and use of the Service, for all Content you provide, and for any consequences thereof. If you do not have the rights to submit Content to the Service, doing so may expose you to liability. TransHub will not be held responsible for any use of your Content by TransHub in accordance with these Terms. You warrant that you have the necessary power, rights, and authority to grant the rights set out in these Terms in respect of any Content you submit.
Using some of our Services requires you to download client software. TransHub grants you a limited, non-transferable, non-exclusive, revocable licence to use the Software solely to access and use the Services. This licence is immediately revoked if you breach these Terms in a manner that risks our intellectual property rights. You must not decompile or reverse engineer the Software or assist any other party in doing so. Our Services may automatically update the Software on your device when a new version is available.

Users are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
We prioritise the privacy of our users. We collect, use, and distribute personally identifiable and non-personally identifiable data as explained in our Privacy Policy. By using the TransHub Service, you consent to the collection, transfer, use, and processing of this information anywhere in the world. TransHub respects the intellectual property of others and asks that you do the same. We will respond to valid notices of copyright infringement submitted in accordance with applicable law.
TransHub respects the confidentiality and ownership of all client materials submitted through the platform.
Although we are committed to providing our customers with excellent service, there are certain aspects of the Service we cannot guarantee. THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TransHub will have no liability for any risk or harm that may lead to corruption of data, damage to your computer system, or other harm arising from your access to the Services or Software.
TransHub strives to maintain reliable access to its platform. However:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRANSHUB, ITS AFFILIATES, EMPLOYEES, OFFICERS, AGENTS, SUPPLIERS, AND LICENSORS ARE NOT LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, USE, PROFITS, OR BUSINESS), REGARDLESS OF THE LEGAL THEORY ADVANCED, WHETHER OR NOT TRANSHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; OR (B) AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES EXCEEDING $100 OR THE AMOUNTS PAID BY YOU TO TRANSHUB IN THE THREE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not permit limitations of this kind, and if you reside or operate in such a jurisdiction, these limitations may not apply to you.
TransHub shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including natural disasters, cyber incidents, acts of government, labour disputes, power outages, internet failures, pandemics, or similar events.
These Terms and the rights and licences granted herein may not be assigned or transferred by you. TransHub may assign them without restriction. Any attempted assignment or transfer by you will be void. In the event that a dispute with you cannot be resolved directly, we agree to resolve any controversy through binding arbitration administered by the American Arbitration Association in New York City, in accordance with its commercial rules. The arbitrator's award may include costs of arbitration, attorney's fees, and expert and witness costs. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction. Nothing in this section prevents TransHub from seeking equitable relief from the courts to protect our proprietary interests.
ALL CLAIMS MUST BE BROUGHT IN THE INDIVIDUAL CAPACITY OF THE PARTIES, AND NOT AS A CLASS MEMBER OR PLAINTIFF IN ANY CLASS OR REPRESENTATIVE PROCEEDING. BY AGREEING TO THESE TERMS, YOU AND TRANSHUB WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR TRIAL BY JURY.
Part II
The following terms apply specifically to Clients, individuals or organisations that use TransHub to submit, manage, and receive language service projects. By submitting a project through the TransHub platform, Clients agree to be bound by the provisions in this Part in addition to the General Terms above.
Clients are responsible for providing complete, accurate, and sufficient information when submitting projects through TransHub. TransHub and its production team rely on this information to scope, price, and execute the requested services. Accordingly:
Upon submission of a quotation by the TransHub sales team, the Client is expected to review and respond within a reasonable timeframe. The following conditions apply:
TransHub provides translation and localisation services based on the scope agreed upon at the quotation stage. The following terms apply to revision requests:
Important: Revision Window
Revision requests submitted more than seven (7) calendar days after project delivery will be assessed on a case-by-case basis and may be treated as new project requests. Clients are encouraged to review all deliverables promptly upon receipt.
Upon delivery of completed project files through the TransHub platform, the Client is required to review the deliverables and confirm acceptance. The following conditions apply:
All fees for services rendered are outlined in the project quotation and final invoice issued through TransHub. The following payment terms apply:
Platform Suspension for Overdue Invoices
Clients with invoices overdue by more than thirty (30) days will have their platform access suspended and all pending project deliveries withheld until the outstanding balance is cleared in full. TransHub will issue a written notice prior to any suspension.
Clients may request to cancel a project at any stage. The following cancellation terms apply:
The quality and format of files provided by the Client directly affect the efficiency and accuracy of services delivered. The following obligations apply:
Clients warrant that all content submitted through the TransHub platform complies with applicable laws and regulations and does not violate intellectual property rights, export control laws, sanctions regulations, or privacy laws.
TransHub treats all Client content and project information with strict confidentiality. In turn, Clients agree to the following:
Clients agree not to directly solicit, hire, or engage any linguist or vendor introduced through TransHub outside the platform for a period of 24 months following the last project interaction.
Any attempt to bypass the platform may result in account suspension and a non-circumvention fee equal to 30% of the estimated annual project value or a minimum of USD 10,000.
Effective communication is essential to the successful delivery of language services. Clients agree to the following:
TransHub reserves the right to take protective measures against Clients whose conduct causes repeated disruptions to its operations or vendor network. The following may result in account review, restriction, or termination:
Prior to any account restriction or termination, TransHub will issue a formal written warning. If the conduct persists following the warning, access to the platform may be suspended or permanently terminated at TransHub's sole discretion.
Part III
The following terms apply specifically to Linguists and Vendors, individuals registered on the TransHub platform to provide translation, localisation, and related language services. By accepting an assignment through TransHub, Linguists agree to be bound by the provisions in this Part in addition to the General Terms above.
All linguists registered on the TransHub platform are expected to maintain accurate and up-to-date profile information. The following obligations apply from the point of registration:
When a linguist confirms their availability and accepts an assignment, they enter into a binding commitment to deliver the work as agreed. The following terms apply:
Linguists may not subcontract or delegate assignments received through TransHub to third parties without prior written approval from the TransHub production team.
Adherence to agreed deadlines is a fundamental obligation for all linguists. Deadlines are agreed at the time of assignment and are binding unless formally extended in writing by the TransHub production team. The following apply:
Deadline Commitment
Deadlines on the TransHub platform represent commitments to the end client. Consistently meeting deadlines is one of the primary factors affecting a linguist's platform rating and future assignment eligibility. We strongly encourage proactive communication over silent late delivery.
The following graduated consequences apply in cases of late or non-delivery. These measures are designed to protect the integrity of TransHub's client commitments and to maintain a reliable vendor network:

TransHub upholds strict quality standards across all language services delivered to its clients. Linguists are expected to maintain a consistent level of quality that reflects professional standards. The following apply:
The TransHub platform operates a dynamic rating system reflecting each linguist's performance across quality, timeliness, and reliability. Linguists should be aware of the following:
Rating Transparency
Linguists may request a summary of rating adjustments applied to their profile at any time by contacting the TransHub production team. We are committed to applying all rating adjustments fairly, consistently, and with clear justification.
Purchase orders are issued by the TransHub finance team following the successful completion and approval of a linguist's work. The following terms govern the issuance, modification, and payment of purchase orders:
The nature of translation and localisation work frequently involves access to sensitive and proprietary content. Linguists agree to the following confidentiality obligations:
TransHub expects all linguists to maintain professional communication standards throughout their engagement on the platform. The following obligations apply:
TransHub recognises that translation technology continues to evolve and that linguists may use a variety of tools in their work. The following terms govern the use of machine translation and AI-assisted tools:
Translated and localised content produced by linguists through the TransHub platform is subject to the following provisions:
Linguists and vendors registered on TransHub operate as independent contractors. Nothing in these Terms creates an employment or partnership relationship between TransHub and any linguist or vendor.
TransHub reserves the right to suspend or permanently terminate a linguist's account under the following circumstances, in addition to specific provisions outlined elsewhere in these Terms:
Prior to permanent termination, except in cases of gross misconduct or confidentiality breach, TransHub will issue a written warning outlining the grounds for potential termination and providing the linguist with an opportunity to respond. Following review of the response, TransHub's decision shall be final.
Part IV
TransHub reserves the right to amend, update, or revise these Terms at any time. Users will be notified of any material changes through the TransHub platform and/or by email at least fourteen (14) calendar days before the changes take effect. Continued use of the platform following the effective date of any amendment constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with applicable law. In the event that a dispute cannot be resolved directly, the parties agree to resolve any controversy through binding arbitration administered by the American Arbitration Association in New York City, in accordance with its commercial rules. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.
These Terms of Service, together with the TransHub Privacy Policy, constitute the entire agreement between TransHub and its users with respect to the matters addressed herein, and supersede all prior understandings, representations, or agreements relating to the same subject matter.

Project files may be archived or deleted from the TransHub platform after twelve (12) months from project completion. Clients are responsible for downloading and securely storing final deliverables once projects are completed.
