TransHub Terms of Service

TransHub acts as a coordination and project management platform connecting clients, sales teams, production managers, linguists, and finance operations. TransHub does not act as the employer of linguists or vendors. Linguists and vendors operate as independent contractors.

The following Terms of Service ("Terms") govern your access to and use of TransHub's ("TransHub", "we", or "our") services, websites, and applications (collectively referred to as the "Service"). Your access to and use of the Service is conditional upon your compliance with and acceptance of these Terms. These Terms apply to all users, visitors, and any person or entity that accesses the Service.

By using the Service, you become bound by these Terms. If you access the Service on behalf of an organisation (employer) or entity ("Organisation"), you agree to these Terms on behalf of the Organisation and warrant that you have the authority to bind the Organisation to these Terms. In this regard, "you" and "your" refer to both you and your Organisation.

Please read these Terms carefully before using the Service.

By using the Service, you become bound by these Terms. If you access the Services on behalf of an organisation (employer) or entity ("Organisation"), you agree to these provisions on behalf of the Organisation and warrant that you have the authority to bind the Organisation to these Terms. In this regard, "you" and "your" refer to both you and your Organisation.

By agreeing to use our Services, you will provide TransHub with projects, information, and folders (generally called "Content"). You have full ownership of your Content. These Terms do not give us rights to your intellectual property or Content except for those rights necessary to run the Services, as explained below.

These Terms allow you to grant us permission to do what you ask us to do with your Content, for instance, analysing or hosting your Content to establish automated localisation. It also includes choices we make to administer our Services, such as how we back up data to keep customer information safe. You also grant us permission to do things that help us provide the Services we offer. This kind of permission concerns the trusted third parties we do business with, such as Google and Amazon, which provide our storage infrastructure.

Other than in rare exceptions described in our Privacy Policy, regardless of any changes in Services, we avoid sharing your Content with others except:

• (a) You instruct us to do so;
• (b) The law or any valid legal process requires it;
• (c) We must do so to allow you to use the Services.

In our Privacy Policy, we explain how we gather and use your information. Although you retain full ownership of your Content, you agree to grant us a non-exclusive, worldwide, irrevocable, perpetual, transferable, royalty-free licence to copy, use, process, modify, reproduce, adapt, publish, transmit, translate, edit, display, make derivatives from, and distribute Content in connection with providing our Service to you and other users in line with your preferred settings on the Service.

Please note that you are responsible for protecting all your Content. We are not liable for any alterations to or loss of your Content, or for expenses incurred in backing up or restoring it.

You, and not TransHub, are primarily responsible for your conduct, the materials of your folders and files, and your communications with others in the course of using the Services. It is your responsibility to ensure that you have the permissions needed to comply with these Terms. TransHub is not responsible for the appropriateness, accuracy, completeness, or legality of user content and any other information you access using the Services.

You may not upload Content that:

• May lead to harm, loss, emotional distress, physical or mental injury, death, disfigurement, disability, or physical or mental illness to you, any animal, or any other person.
• May give rise to a risk of damage or loss to any person or property.
• Has the potential to exploit or harm children by requesting identifiable details, exposing them to inappropriate content, or otherwise.
• May contribute to a tort or crime.
• Contains information or content that we consider unlawful, abusive, harmful, defamatory, racially or ethnically offensive, infringing, harassing, invasive of personal privacy or publicity rights, humiliating, libellous, profane, threatening, or otherwise objectionable.
• Contains information that is illegal (including the disclosure of insider information or another party's trade secrets).
• Contains any content to which you do not have the right to grant access under fiduciary or contractual relationships or applicable law.
• May contain information that you know to be inaccurate or out of date.

We reserve the right, but are not obligated, to remove or refuse to distribute any Content on the Service. We also reserve the right to access, preserve, and disclose any data as we reasonably believe necessary to: satisfy applicable law or legal process; enforce these Terms; detect, prevent, or address security, fraud, or technical issues; respond to user support requests; or protect the rights, safety, or property of TransHub, its users, and the public.

All interest, right, and title in and to the Service (excluding Content provided by users) remain the exclusive property of TransHub and its licensors. The Service is protected by trademark, copyright, and other laws. Nothing in these Terms grants you permission to use the TransHub name, logos, trademarks, domain names, or other brand features. Any feedback, suggestions, or comments you provide regarding TransHub or the Service are entirely voluntary, and we reserve the right to use such feedback without any obligation to you.

All Content on the Service is the primary responsibility of the individual who created it. We do not endorse, represent, or guarantee the completeness, truthfulness, reliability, or accuracy of any Content or communications posted through the Service. If you rely on or make use of any material posted on the Service, you do so at your own risk. TransHub is not liable for any loss or damage incurred from the use of any Content on the Service.

You are solely responsible for your access to and use of the Service, for all Content you provide, and for any consequences thereof. If you do not have the rights to submit Content to the Service, doing so may expose you to liability. TransHub will not be held responsible for any use of your Content by TransHub in accordance with these Terms. You warrant that you have the necessary power, rights, and authority to grant the rights set out in these Terms in respect of any Content you submit.

Using some of our Services requires you to download client software. TransHub grants you a limited, non-transferable, non-exclusive, revocable licence to use the Software solely to access and use the Services. This licence is immediately revoked if you breach these Terms in a manner that risks our intellectual property rights. You must not decompile or reverse engineer the Software or assist any other party in doing so. Our Services may automatically update the Software on your device when a new version is available.

You must not:

• Access or use the Service for illegal or unlawful purposes or to promote illegal activities.
• Post content that violates applicable law, including intellectual property laws, privacy rights, or contractual obligations.
• Impersonate others or misrepresent your affiliation with any entity or individual in a manner intended to confuse, mislead, or deceive others.
• Post or publish another person's personally identifiable information, including street address, credit card numbers, or national identity numbers, without their prior consent.
• Link to or publish malicious content intended to damage or disrupt another user's system, or to access restricted areas of the Service.
• Scan network vulnerabilities or breach any authentication or security measures; access the Services through any means other than TransHub's publicly supported interfaces.
• Forge packet headers or any other information; disrupt the access of any user, host, or network, including by transmitting viruses, overloading, flooding, spamming, or mail-bombing the Service.
• Use the Service in violation of any applicable local laws regarding online conduct and acceptable content.

We prioritise the privacy of our users. We collect, use, and distribute personally identifiable and non-personally identifiable data as explained in our Privacy Policy. By using the TransHub Service, you consent to the collection, transfer, use, and processing of this information anywhere in the world. TransHub respects the intellectual property of others and asks that you do the same. We will respond to valid notices of copyright infringement submitted in accordance with applicable law.

Although we are committed to providing our customers with excellent service, there are certain aspects of the Service we cannot guarantee. THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TransHub will have no liability for any risk or harm that may lead to corruption of data, damage to your computer system, or other harm arising from your access to the Services or Software.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRANSHUB, ITS AFFILIATES, EMPLOYEES, OFFICERS, AGENTS, SUPPLIERS, AND LICENSORS ARE NOT LIABLE FOR: (A) ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, USE, PROFITS, OR BUSINESS), REGARDLESS OF THE LEGAL THEORY ADVANCED, WHETHER OR NOT TRANSHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; OR (B) AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES EXCEEDING $100 OR THE AMOUNTS PAID BY YOU TO TRANSHUB IN THE THREE MONTHS PRECEDING THE CLAIM. Some jurisdictions do not permit limitations of this kind, and if you reside or operate in such a jurisdiction, these limitations may not apply to you.

These Terms and the rights and licences granted herein may not be assigned or transferred by you. TransHub may assign them without restriction. Any attempted assignment or transfer by you will be void. In the event that a dispute with you cannot be resolved directly, we agree to resolve any controversy through binding arbitration administered by the American Arbitration Association in New York City, in accordance with its commercial rules. The arbitrator's award may include costs of arbitration, attorney's fees, and expert and witness costs. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction. Nothing in this section prevents TransHub from seeking equitable relief from the courts to protect our proprietary interests.

Clients are responsible for providing complete, accurate, and sufficient information when submitting projects through TransHub. TransHub and its production team rely on this information to scope, price, and execute the requested services. Accordingly:

• (d) Clients must clearly specify the source and target language(s), subject matter, intended audience, file formats, and any applicable style guides or glossaries at the time of project submission.
• (e) Clients must disclose any content sensitivities, confidentiality requirements, or regulatory constraints that may affect how the project is handled or delivered.
• (f) If a project is submitted with incomplete or inaccurate information that necessitates rework, scope changes, or additional effort after the quotation has been issued, TransHub reserves the right to revise the quotation accordingly. The Client will be notified prior to any additional charges being applied.
• (g) TransHub shall not be held liable for errors, delays, or quality issues arising directly from inaccurate, incomplete, or misleading information provided by the Client at the time of submission.

Upon submission of a quotation by the TransHub sales team, the Client is expected to review and respond within a reasonable timeframe. The following conditions apply:

• (h) Clients are expected to review and respond to submitted quotations within five (5) business days of receipt. Failure to respond within this period may result in the project being placed on hold pending Client action.
• (i) If a quotation remains unreviewed for fifteen (15) or more calendar days, TransHub reserves the right to close the project request. The Client may resubmit the project, subject to re-quotation at current rates.
• (j) Once a quotation is approved by the Client, it becomes binding. Requests to modify the approved scope after production has commenced will be treated as a new project or change order and may incur additional charges.
• (k) If the Client rejects a quotation and provides feedback, TransHub will issue a revised quotation. No more than two (2) rounds of quotation revisions will be provided without additional administrative charges unless otherwise agreed in writing.

TransHub provides translation and localisation services based on the scope agreed upon at the quotation stage. The following terms apply to revision requests:

• (l) Minor revisions resulting from errors or omissions by the TransHub production team will be addressed at no additional charge, provided they are reported within seven (7) calendar days of project delivery.
• (m) Revision requests arising from a change in the Client's requirements, preferences, or source material after production has commenced are considered out-of-scope and will be quoted separately.
• (n) If the Client modifies the original source files after the project has been accepted into production, TransHub reserves the right to charge for the additional work required to accommodate the updated content.
• (o) Requests for subjective stylistic changes that go beyond linguistic accuracy, such as tonal preferences, reformatting, or content restructuring not specified in the original brief, will be treated as change orders.

Upon delivery of completed project files through the TransHub platform, the Client is required to review the deliverables and confirm acceptance. The following conditions apply:

• (p) Clients are expected to review delivered project files and provide a response, approval or rejection with feedback, within five (5) business days of the delivery notification.
• (q) If the Client does not respond within ten (10) business days of delivery, the project will be deemed accepted. The sales team will mark the delivery as approved on the Client's behalf, and the final invoice will be issued.
• (r) In the event of rejection, the Client must provide clear, specific, and actionable written feedback through the TransHub platform. Vague or general dissatisfaction without reference to the agreed deliverables will not constitute valid grounds for rejection.
• (s) TransHub reserves the right to dispute rejection feedback that falls outside the originally agreed project scope and to escalate such matters for review.

All fees for services rendered are outlined in the project quotation and final invoice issued through TransHub. The following payment terms apply:

• (t) Payment is due within fourteen (14) calendar days of invoice issuance, unless otherwise agreed in writing between the Client and TransHub prior to project commencement.
• (u) Invoices that remain unpaid beyond the due date will incur a late payment fee of 1.5% per month on the outstanding balance, compounded monthly, until the invoice is settled in full.
• (v) TransHub reserves the right to suspend access to the platform and place all active projects on hold for any Client with outstanding invoices overdue by more than thirty (30) calendar days.
• (w) In cases of persistent non-payment, TransHub reserves the right to engage third-party debt collection services and/or pursue legal action to recover outstanding amounts. All associated costs, including legal fees and collection charges, will be borne by the Client.
• (x) Disputed invoices must be raised in writing within seven (7) calendar days of receipt. Disputes raised after this period will not affect the payment due date.

Clients may request to cancel a project at any stage. The following cancellation terms apply:

• (y) If a cancellation request is submitted before the project has entered the production stage, no charges will apply and any advance payment will be refunded in full.
• (z) If a cancellation request is submitted after the project has entered production but before completion, the Client will be charged for the proportion of work completed at the time of cancellation, as assessed by the production team. A cancellation fee of 15% of the total quoted value will also apply.
• (a) If a cancellation request is submitted after production is complete and files have been delivered for Client review, the full invoice amount remains payable.
• (b) TransHub will not be liable for any costs, losses, or damages incurred by the Client or any third party as a result of a Client-initiated cancellation.
• (c) TransHub reserves the right to cancel a project without liability where the provided source materials violate applicable laws, contain prohibited content, or where the Client has materially breached these Terms.

The quality and format of files provided by the Client directly affect the efficiency and accuracy of services delivered. The following obligations apply:

• (d) Clients are responsible for providing source files in a clean, editable, and machine-readable format wherever possible. Handwritten documents, low-resolution scans, or files requiring extensive pre-processing may incur additional handling fees.
• (e) Clients must ensure that all files submitted are final approved versions. Resubmission of updated source files after production has commenced will be treated as a scope change and may incur additional charges.
• (f) TransHub accepts no liability for translation errors attributable to poor source file quality, ambiguous content, or illegible formatting.
• (g) Files containing embedded, password-protected, or DRM-restricted content must be disclosed at the time of submission. TransHub will not be responsible for any inability to process such files if they were not disclosed.

TransHub treats all Client content and project information with strict confidentiality. In turn, Clients agree to the following:

• (h) Clients must not share, reproduce, or distribute any deliverables or translated content produced by TransHub for purposes beyond those originally specified in the project brief without prior written consent.
• (i) Clients must not disclose any pricing, quotation details, or proprietary workflows of TransHub to third parties without prior written consent.
• (j) Clients acknowledge that translated and localised content produced by TransHub incorporates the intellectual effort of individual linguists, and agree not to use such content in a manner that misrepresents its origin.

Effective communication is essential to the successful delivery of language services. Clients agree to the following:

• (k) Clients are expected to respond to communications from the TransHub sales team within three (3) business days. Delays in Client response that cause project delays will not be attributable to TransHub, and any resulting deadline extensions will be reflected accordingly.
• (l) If a Client becomes unreachable for more than ten (10) consecutive business days during an active project, TransHub reserves the right to place the project on hold or close it. Any work completed to that point will remain billable.
• (m) Clients who repeatedly delay approvals, responses, or payments may be subject to revised payment terms, upfront deposit requirements, or restrictions on expedited service options.

TransHub reserves the right to take protective measures against Clients whose conduct causes repeated disruptions to its operations or vendor network. The following may result in account review, restriction, or termination:

• Repeated late payments or persistent outstanding balances.
• Frequent last-minute project cancellations after production has commenced.
• Submission of projects with materially inaccurate or deliberately misleading scope information.
• Abuse, harassment, or unprofessional conduct directed at TransHub staff, account managers, or the production team.
• Repeated submission of unjustified revision or rejection requests intended to delay payment or extract work beyond the agreed scope.

Prior to any account restriction or termination, TransHub will issue a formal written warning. If the conduct persists following the warning, access to the platform may be suspended or permanently terminated at TransHub's sole discretion.

All linguists registered on the TransHub platform are expected to maintain accurate and up-to-date profile information. The following obligations apply from the point of registration:

• (n) Linguists must accurately represent their language pairs, subject matter expertise, certifications, and professional experience at the time of registration and must update their profile promptly if any of this information changes.
• (o) Misrepresentation of qualifications, language proficiency levels, or areas of expertise, whether intentional or negligent, will result in immediate removal from the platform and forfeiture of any outstanding purchase orders.
• (p) Linguists are solely responsible for ensuring that they possess all necessary rights, certifications, and authorisations required to perform the work they accept through TransHub.
• (q) TransHub reserves the right to verify information provided during onboarding through its own assessment processes, including test translations, reference checks, or third-party verification.

When a linguist confirms their availability and accepts an assignment, they enter into a binding commitment to deliver the work as agreed. The following terms apply:

• (r) By confirming availability and accepting an assignment, the linguist agrees to deliver completed work in full, on time, and in accordance with the project specifications, style guides, and instructions provided.
• (s) Linguists must not accept assignments they know, or reasonably ought to know, they will be unable to complete on time or to the required standard.
• (t) Accepting an assignment and subsequently abandoning it, without communication and without valid reason, constitutes a serious breach of these Terms and will result in immediate cancellation of the associated purchase order and a reduction in the linguist's platform rating.
• (u) If a linguist is unable to continue an assignment due to unforeseen circumstances, they must notify the TransHub production team as soon as possible and no later than twenty-four (24) hours before the deadline.

Adherence to agreed deadlines is a fundamental obligation for all linguists. Deadlines are agreed at the time of assignment and are binding unless formally extended in writing by the TransHub production team. The following apply:

• (v) Linguists are expected to submit completed work through TransHub before or by the agreed deadline. Submissions made after the deadline, regardless of cause, will be considered late.
• (w) In the event that a linguist anticipates difficulty meeting a deadline, they must contact the production team as early as possible and no later than forty-eight (48) hours before the deadline to request an extension. Requests submitted less than twenty-four (24) hours before the deadline may not be accommodated.
• (x) TransHub will evaluate all extension requests and respond within a reasonable timeframe. Approval is at the sole discretion of the production team and is subject to client delivery commitments.
• (y) Unapproved late submissions will be subject to the penalty provisions outlined in Section 24.

The following graduated consequences apply in cases of late or non-delivery. These measures are designed to protect the integrity of TransHub's client commitments and to maintain a reliable vendor network:

24.1 Late Delivery

• (z) A submission delivered after the agreed deadline but within twenty-four (24) hours, where the production team was notified in advance, will result in a rating reduction of five (5) points.
• (a) A submission delivered between twenty-four (24) and forty-eight (48) hours past the deadline will result in a rating reduction of ten (10) points and a purchase order deduction of up to 15% of the agreed rate, at the production team's discretion.
• (b) A submission delivered more than forty-eight (48) hours past the deadline without prior communication will result in a rating reduction of twenty (20) points and a purchase order deduction of up to 30% of the agreed rate.

24.2 Non-Delivery

• (c) If a linguist fails to submit any work and does not communicate with the production team before the deadline passes, this constitutes a non-delivery event.
• (d) Upon a non-delivery event, the associated purchase order will be immediately cancelled. The linguist will not be entitled to any compensation for that project.
• (e) A non-delivery event will result in a rating reduction of twenty-five (25) points.
• (f) Following a non-delivery event, the linguist's account will be suspended for fourteen (14) calendar days, during which they will be unable to receive new assignments or access project files. Access will be restored automatically upon expiry of the suspension.
• (g) A second non-delivery event within a rolling twelve (12) month period will result in a thirty (30) day suspension and a formal review of the linguist's continued standing on the platform.
• (h) Three (3) or more non-delivery events within a rolling twelve (12) month period will result in permanent removal from the TransHub vendor network and forfeiture of all pending purchase orders.

TransHub upholds strict quality standards across all language services delivered to its clients. Linguists are expected to maintain a consistent level of quality that reflects professional standards. The following apply:

• (i) All work submitted through TransHub must be of professional quality, free of substantive translation errors, grammatical mistakes, inconsistent terminology, formatting issues, or any other deficiency that materially affects the usability of the deliverable.
• (j) If submitted work is found to contain quality issues requiring significant rework, the linguist will be formally notified and given an opportunity to acknowledge and respond to the feedback.
• (k) Quality issues that necessitate full or partial rework may result in a purchase order deduction proportional to the extent of rework required, as assessed by the production team. The linguist will be informed of the deduction amount and reasons prior to it being applied.
• (l) Repeated quality issues across multiple projects will negatively affect the linguist's platform rating and may result in temporary suspension of assignment eligibility pending a quality review.
• (m) If a linguist disputes a quality assessment, they may submit a formal written dispute to the production team within five (5) business days of notification. TransHub will review the dispute and communicate its decision within ten (10) business days. TransHub's decision following this review process shall be final.

The TransHub platform operates a dynamic rating system reflecting each linguist's performance across quality, timeliness, and reliability. Linguists should be aware of the following:

• (n) All linguists are assigned a default rating of 80 upon registration. This rating is dynamic and will increase or decrease based on project outcomes, as assessed by the production team.
• (o) Ratings are updated following the completion and review of each project. On-time delivery, high-quality work, and responsive communication will result in rating increases. Negative outcomes, as outlined in these Terms, will result in decreases.
• (p) Linguists with a platform rating below 60 will be flagged for a performance review. During this review, the linguist may be restricted from receiving new assignments until the review is concluded.
• (q) Linguists with a platform rating below 50 may be removed from the TransHub vendor network at TransHub's sole discretion. The linguist will be notified in advance of any such removal.
• (r) TransHub does not guarantee a minimum number of assignments to any linguist. Lower-rated linguists may naturally receive fewer opportunities as the platform prioritises higher-rated vendors for client projects.

Purchase orders are issued by the TransHub finance team following the successful completion and approval of a linguist's work. The following terms govern the issuance, modification, and payment of purchase orders:

• (s) Purchase orders will be issued upon final approval of the project by the TransHub production and sales teams. Linguists will be notified through the platform and by email when a purchase order is issued.
• (t) The rate and scope set out in a purchase order are based on the assignment details agreed at the time of acceptance. Any discrepancies must be raised by the linguist within five (5) business days of purchase order issuance.
• (u) Deductions may be applied to a purchase order in accordance with the provisions in Sections 24 and 25. All deductions will be communicated to the linguist in writing prior to being applied, with a clear explanation of the reason and amount.
• (v) TransHub processes payments in accordance with its internal payment cycle. Linguists will be notified when payment has been processed through the TransHub platform.
• (w) Purchase orders cancelled as a result of non-delivery, account suspension, or a breach of these Terms will not be reinstated.

The nature of translation and localisation work frequently involves access to sensitive and proprietary content. Linguists agree to the following confidentiality obligations:

• (x) Linguists must treat all project content, source materials, translated deliverables, client information, and project details as strictly confidential. This obligation applies during the project and continues indefinitely after the completion or termination of any assignment.
• (y) Linguists must not share, reproduce, publish, or disclose any project content or client information to any third party under any circumstances, except as required by applicable law.
• (z) Linguists must not use any project content, client data, or proprietary materials accessed through TransHub for any purpose other than the completion of the assigned project.
• (a) Linguists must not use translation memories, glossaries, or client-specific assets provided by TransHub for work undertaken outside of the platform without prior written consent from TransHub.
• (b) Breach of this confidentiality obligation constitutes a material breach of these Terms and will result in immediate account termination, cancellation of all outstanding purchase orders, and may expose the linguist to legal action by TransHub and/or its clients.

TransHub expects all linguists to maintain professional communication standards throughout their engagement on the platform. The following obligations apply:

• (c) Linguists must respond to communications from the TransHub production team within twenty-four (24) hours on business days. Persistent non-responsiveness will be treated as a performance issue and may affect the linguist's rating and assignment eligibility.
• (d) Linguists must proactively communicate any issues, delays, or uncertainties that may affect the quality or timely delivery of their work.
• (e) Linguists must not engage in unprofessional, abusive, or disrespectful conduct toward TransHub staff, production team members, or any other party involved in a project.
• (f) Any attempt to circumvent the TransHub platform by establishing direct commercial relationships with TransHub clients or soliciting TransHub clients for work outside of the platform will result in immediate and permanent removal from the vendor network and may be subject to legal action.

TransHub recognises that translation technology continues to evolve and that linguists may use a variety of tools in their work. The following terms govern the use of machine translation and AI-assisted tools:

• (g) Linguists must disclose whether they intend to use machine translation (MT) or AI-assisted tools as part of their workflow prior to accepting an assignment, unless such use has been explicitly authorised in the project brief.
• (h) The use of MT or AI tools does not reduce the linguist's responsibility for the quality and accuracy of the final deliverable. All AI-generated content must be thoroughly post-edited to a professional standard before submission.
• (i) If a project brief explicitly prohibits the use of machine translation or AI tools, the linguist must comply strictly. Submission of unedited or minimally edited MT output in breach of this prohibition will be treated as a quality violation under Section 25.
• (j) TransHub reserves the right to use quality assessment tools to detect machine translation output and may take appropriate action under these Terms if prohibited MT usage is identified.

Translated and localised content produced by linguists through the TransHub platform is subject to the following provisions:

• (k) Upon submission and acceptance of a deliverable, the linguist irrevocably assigns all intellectual property rights in the translated content to TransHub and its client, as applicable. The linguist retains no ownership rights in the completed deliverable.
• (l) Linguists must not reproduce, publish, share, or repurpose translated content produced through the TransHub platform in their personal portfolios, sample libraries, or for any other purpose without prior written consent from TransHub.
• (m) TransHub retains the right to use anonymised performance data, including quality assessment scores and delivery metrics, for internal reporting and platform improvement purposes.

TransHub reserves the right to suspend or permanently terminate a linguist's account under the following circumstances, in addition to specific provisions outlined elsewhere in these Terms:

• Misrepresentation of qualifications or professional experience.
• Breach of confidentiality obligations as set out in Section 28.
• Non-delivery events as outlined in Section 24.
• Repeated quality failures resulting in a platform rating below 50.
• Direct solicitation of TransHub clients outside of the platform.
• Violation of the acceptable use provisions in the General Terms.
• Any conduct that, in TransHub's reasonable judgment, is harmful to the reputation, operations, or client relationships of TransHub.

Prior to permanent termination, except in cases of gross misconduct or confidentiality breach, TransHub will issue a written warning outlining the grounds for potential termination and providing the linguist with an opportunity to respond. Following review of the response, TransHub's decision shall be final.

TransHub reserves the right to amend, update, or revise these Terms at any time. Users will be notified of any material changes through the TransHub platform and/or by email at least fourteen (14) calendar days before the changes take effect. Continued use of the platform following the effective date of any amendment constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with applicable law. In the event that a dispute cannot be resolved directly, the parties agree to resolve any controversy through binding arbitration administered by the American Arbitration Association in New York City, in accordance with its commercial rules. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remainder of these Terms, which shall continue in full force and effect.

These Terms of Service, together with the TransHub Privacy Policy, constitute the entire agreement between TransHub and its users with respect to the matters addressed herein, and supersede all prior understandings, representations, or agreements relating to the same subject matter.

Project files may be archived or deleted from the TransHub platform after twelve (12) months from project completion. Clients are responsible for downloading and securely storing final deliverables once projects are completed.
